Welcome to Osavus (owned and operated by Osavus Technology Ltd (“Osavus,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our platform located at www.osavus.com (the “Platform”), including all functionalities, features, and content provided through our services (“Services”). By using the Platform, you agree to be bound by these Terms. Please read them carefully.

Acceptance of Terms

Your use of the Platform constitutes your agreement to these Terms. If you do not agree, you must immediately discontinue use.
You acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Definitions

“User,” “You,” or “Your” refers to any individual or entity accessing or using the Services.
“Content” refers to any text, data, information, images, documents (including CVs/resumes), or materials uploaded, submitted, or otherwise made available on the Platform by Users.
“Account” means a registered user profile on the Platform.

User Obligations

You agree to provide accurate, current, and complete information when creating an Account or using the Platform.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.
You warrant that you have all necessary rights and permissions to submit any Content (including job postings and CVs) and that such Content does not violate any third-party rights or applicable laws.
You shall not use the Services for any unlawful, fraudulent, or malicious activities, nor post unlawful or infringing content.

Privacy and Data Use

We collect, process, and store personal data (including CVs) to provide our Services. All personal data is handled in accordance with our Privacy Policy.
By using the Services, you consent to such data collection and processing, including the use of third-party AI tools (e.g., Microsoft Azure Cloud) for CV parsing, matching, and analytics.
You acknowledge that you are responsible for complying with all applicable data protection laws (e.g., GDPR) when uploading or processing personal data through the Platform.

Service Description

Osavus provides an AI-infused recruitment and data-management platform to help Users create, post, and manage job ads, collect and review applications, and analyze candidate data.
We do not guarantee specific hiring outcomes, the suitability of candidates, or the performance of any job boards or third-party services integrated with our Platform.

Job Postings and Third-Party Distribution

You authorize Osavus to publish job ads on our own site (www.osavus.com) and distribute them to partner job boards, as requested.
We do not control partner job boards and are not liable for their actions, omissions, or any inaccuracies in how they display or process your job postings.

Payments and Subscriptions

Some features may require payment of fees or subscription charges. All fees are listed on our pricing page or in your service agreement.
Payment is processed through trusted third-party providers (e.g., Stripe, Fondy). We do not store full payment card details on our servers.
Late or non-payment may result in suspension or termination of your Account.

License and Intellectual Property

Osavus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services for your internal recruitment and HR purposes.
All intellectual property rights in the Platform, Services, and any Osavus branding remain the exclusive property of Osavus Technology Ltd and Osavus Holding Ltd. You may not copy, distribute, modify, or create derivative works of our materials without our prior written consent.
You retain all intellectual property rights in your Content. By uploading or submitting Content to the Platform, you grant Osavus a non-exclusive, worldwide, royalty-free license to store, process, and display your Content solely for the purpose of providing the Services.

Confidentiality

Both parties agree to maintain as confidential any business, technical, or financial information disclosed under these Terms if it is reasonably understood to be confidential.
This obligation does not apply to information that is publicly available or lawfully obtained from a third party without breach of confidentiality.

Liability and Disclaimer of Warranties

Osavus is provided on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
While we strive to maintain high levels of data security, no system is 100% secure. We disclaim any liability for unauthorized access or data breaches caused by third parties.
To the extent permitted by law, Osavus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform, except where liability cannot be excluded under applicable law.

Indemnification

You agree to indemnify and hold harmless Osavus, its affiliates, officers, employees, and agents from any claims, damages, losses, or legal fees arising out of or in connection with:
Your use of the Services.
Your breach of these Terms.
Your violation of any third-party rights, including intellectual property or privacy rights.
Any Content you submit or distribute via the Platform.

Modifications and Updates

We may update or revise these Terms from time to time. When we do, we will post the revised Terms and update the “Last updated” date above.
Continued use of the Platform after any modifications signifies your acceptance of the new Terms.

Termination

We reserve the right to suspend or terminate your Account and/or access to the Services at any time if you violate these Terms or engage in fraudulent, illegal, or harmful behavior.
You may terminate your Account at any time by contacting us at info@osavus.com. Upon termination, your right to use the Services ceases immediately.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Estonia, without regard to conflict of laws principles.
Any dispute arising out of or related to these Terms shall be resolved in the competent courts located in Estonia, and both parties submit to the jurisdiction of such courts.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service agreements, constitute the entire agreement between you and Osavus regarding your use of the Platform and Services.
Any failure by Osavus to enforce a provision of these Terms shall not be considered a waiver of future enforcement of that or any other provision.
